Legal Agreement: Terms of Service
- General Membership Terms
By becoming a member of Eugene Mindworks ("Mindworks"), you agree to abide by the terms and conditions set forth in these Terms of Membership ("Agreement"), as well as the policies outlined in the Member Policy Handbook. This Agreement is legally binding and designed to create a safe, professional, and respectful environment for all members.
- Membership Dues and Fees
Membership dues must be paid in accordance with the Mindworks Member Policy Handbook, including all associated fees for late payments, returned checks, and lost keys. Mindworks reserves the right to suspend or terminate membership if dues are not paid timely or if any policies are violated. Membership dues and fees are non-refundable except as specified in the Member Policy Handbook.
- Limited Liability and Assumption of Risk
Members acknowledge and agree that use of the Eugene Mindworks facilities and services involves certain inherent risks, including potential damage to or loss of personal property, minor injuries, and interruptions of access due to maintenance or unforeseen circumstances. By entering the premises and using any Mindworks facilities or amenities, you voluntarily assume all risks and agree that Mindworks, Eugene Mindworks Co., and its officers, agents, and employees shall not be held liable for any claims, damages, losses, or injuries sustained while on the premises, except in cases of proven gross negligence or willful misconduct.
- Indemnification
To the fullest extent permitted by law, members shall indemnify, defend, and hold harmless Mindworks, Eugene Mindworks Co., and its directors, officers, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including attorneys’ fees) arising out of or related to:
- The member’s use of Mindworks facilities, equipment, or services.
- Any act or omission by the member or the member’s guests, employees, agents, or affiliates in connection with the member's Mindworks membership or use of Mindworks facilities.
- Any breach of this Agreement or violation of the Member Policy Handbook by the member or the member’s guests, employees, agents, or affiliates.
- Insurance Requirement
All members are required to maintain, at their own expense, appropriate business liability insurance, covering risks associated with their business activities conducted within the Mindworks facility. Mindworks is not responsible for any loss or damage to member property or personal injury suffered by members or their guests, and members are encouraged to carry additional personal property and injury insurance.
- Use of Facilities
Members agree to use Eugene Mindworks facilities solely for professional, non-residential, business purposes. Members must comply with all Mindworks policies on use of shared spaces, private offices, conference rooms, and event facilities as outlined in the Member Policy Handbook. Mindworks reserves the right to monitor usage and ensure compliance with the Mindworks Member Policy Handbook to maintain a professional and respectful environment.
- Damage and Cleanup Fees
Members agree to leave all shared and reserved spaces, including conference rooms, in a clean and orderly condition after each use. Members will be responsible for any damage caused to Mindworks property, whether through their own actions or the actions of their guests, and agree to cover any cleaning, repair, or replacement fees required to restore the space.
- Privacy and Access
Mindworks reserves the right to access all spaces, including private offices, for maintenance and facility management purposes as specified in the Member Policy Handbook. All personal items left unattended in shared areas may be removed or relocated for security or operational reasons. Mindworks will make every effort to respect member privacy while ensuring a safe and secure environment for all.
- Termination of Membership
Mindworks reserves the right to terminate or suspend membership, without refund, for any member who violates the Member Policy Handbook or any provisions of this Agreement. Mindworks may also terminate memberships that interfere with the security, safety, or functionality of the Mindworks environment.
- Changes to Terms
Mindworks may modify this Agreement at any time by providing notice to members. Any continued use of the facilities after changes are implemented constitutes acceptance of the new terms.
By signing up for a Mindworks membership or otherwise accessing Mindworks facilities, members acknowledge that they have read, understood, and agreed to these Terms of Membership, including all indemnification and insurance requirements. Members also agree to be bound by all policies outlined in the Member Policy Handbook.
